These Terms of Service ("Terms") govern your use of the website at www.nv-tax.com and the professional services provided by NV Tax & Accounting Services LLC ("Company," "we," "our," or "us"). By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Services
NV Tax & Accounting Services LLC provides accounting, tax preparation, bookkeeping, payroll, and related financial services to individuals and businesses. The specific scope, deliverables, and fees for each engagement are defined in a separate Service Agreement or engagement letter provided to each client.
Information provided on our website is for general informational purposes only and does not constitute professional tax or legal advice. Consult with a qualified professional for advice specific to your situation.
2. Client Responsibilities
To enable us to provide services effectively, you agree to:
- Provide accurate, complete, and timely information and documentation
- Notify us promptly of any changes to your financial situation or circumstances that may affect our services
- Review and approve all work product before submission to tax authorities
- Pay all fees as agreed in your Service Agreement
- Maintain backup copies of all documents you provide to us
You are responsible for the accuracy and completeness of all information you provide. We are not liable for errors or penalties resulting from inaccurate or incomplete information supplied by you.
3. Fees and Payment
Service fees are outlined in your individual Service Agreement. Unless otherwise agreed:
- One-time services are invoiced upon completion or as agreed
- Recurring services (bookkeeping, payroll) are billed monthly in advance
- Payment is due within 15 days of invoice date
- Late payments may incur a 1.5% monthly finance charge
- We reserve the right to suspend services for accounts more than 30 days past due
4. Confidentiality
We treat all client information as strictly confidential. We will not disclose your financial or personal information to third parties except as required to provide our services, comply with legal obligations, or as authorized by you in writing. Our confidentiality obligations survive termination of our engagement.
5. Intellectual Property
All content on this website β including text, graphics, logos, and design β is the property of NV Tax & Accounting Services LLC and is protected by copyright law. You may not reproduce, distribute, or create derivative works without our prior written consent.
Work product we create on your behalf (tax returns, financial reports, etc.) becomes your property upon payment of all applicable fees.
6. Limitation of Liability
To the fullest extent permitted by law, NV Tax & Accounting Services LLC's liability for any claim arising from our services shall not exceed the fees paid by you for the specific service giving rise to the claim in the twelve (12) months preceding the claim.
We are not liable for: indirect, incidental, or consequential damages; penalties or interest assessed by tax authorities due to your failure to provide accurate information; losses resulting from events beyond our reasonable control; or errors based on information you have not yet provided us.
7. IRS Circular 230 Disclosure
Any tax advice contained in written communications from NV Tax & Accounting Services LLC is not intended or written to be used, and cannot be used, by any taxpayer for the purpose of avoiding penalties that may be imposed under federal tax law. Tax advice in our communications is written to support the promotion or marketing of the transactions or matters addressed therein.
8. Engagement Termination
Either party may terminate a service engagement with 30 days' written notice. You are responsible for fees for services rendered through the termination date. Upon termination, we will return your documents and records within a reasonable timeframe.
We reserve the right to withdraw from an engagement immediately if: you provide false or misleading information; you ask us to engage in illegal or unethical conduct; or continuation would violate professional standards.
9. Dispute Resolution
In the event of a dispute arising from our services, the parties agree to first attempt resolution through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Mecklenburg County, North Carolina, under the rules of the American Arbitration Association. The prevailing party shall be entitled to recover reasonable attorneys' fees.
10. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the courts of Mecklenburg County, North Carolina.
11. Website Disclaimer
Our website is provided "as is" without warranties of any kind. We do not guarantee the accuracy, completeness, or timeliness of website content. We reserve the right to modify or discontinue the website at any time without notice.
12. Changes to Terms
We may update these Terms periodically. Continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms. We will notify active clients of material changes via email.
